Terms of Service

1. Acceptance of Terms

By accessing or using Specd ("Service") at specd.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

Specd is an AI-powered Product Requirements Document (PRD) generation tool. You provide an idea; the Service generates a scoped, structured spec document. The Service is provided on a subscription basis with a free tier.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access.

You must be at least 13 years old to create an account. By creating an account, you represent that you meet this requirement.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Billing

4.1 Plans

The Service offers a Free tier and paid subscription plans (Pro, Architect). Paid plans are billed on a monthly rolling basis. Prices are displayed on the pricing page and may change with notice.

The Architect tier is described as "Unlimited" PRD generations for normal product work. We apply a fair use limit (currently 200 PRD generations per rolling 30-day period) to prevent abuse such as automated stress testing or resale of access. Legitimate use is expected to remain well below this cap.

4.2 Top-up Credits

One-time top-up packs may be purchased by Pro and Architect subscribers. Top-up credits do not expire while your paid subscription is active. Credits are non-refundable and non-transferable.

4.3 Cancellation

You may cancel your subscription at any time from your billing dashboard. Upon cancellation, you retain access to paid features until the end of your current billing period. After that, your account reverts to the Free tier. We do not offer refunds for partial billing periods.

4.4 Payment Processing

Payments are processed by Lemon Squeezy. By purchasing a subscription, you also agree to Lemon Squeezy's terms of service.

5. Acceptable Use

You agree not to use the Service to:

• →Generate content that is illegal, harmful, threatening, abusive, or defamatory
• →Attempt to circumvent usage limits or billing systems
• →Reverse engineer, decompile, or extract proprietary components of the Service
• →Use automated scripts or bots to make excessive requests
• →Resell or sublicense the Service to third parties without our written consent
• →Impersonate another person or entity

We reserve the right to terminate access for any user who violates these restrictions.

6. Intellectual Property

6.1 Your Content

You retain ownership of the ideas and content you submit. By using the Service, you grant us a limited license to process your content solely to provide the Service. We do not claim ownership of your inputs or the generated PRD outputs.

6.2 Our IP

The Specd brand, interface, code, and prompts are our intellectual property. You may not copy, reproduce, or create derivative works from any part of the Service.

6.3 Generated Output

PRD documents generated by the Service are yours to use however you like, including commercially. We make no copyright claims on AI-generated outputs.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that the AI-generated output will be accurate, complete, or fit for any particular purpose.

AI-generated PRDs are a starting point, not a final specification. Always review outputs before using them to make business or technical decisions.

8. Limitation of Liability

To the maximum extent permitted by law, Specd and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, lost profits, or business interruption.

Our total liability to you for any claims arising from use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Specd and its operators from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Modifications

We may update these Terms at any time. If we make material changes, we will notify you via email or a prominent in-app notice at least 7 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms are governed by the laws of the jurisdiction in which Specd operates, without regard to conflict of law provisions. Any disputes shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
